Neuromade – Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the Neuromade website and marketplace (the “Platform”). By accessing or using Neuromade as a buyer, creator, or visitor (“you”), you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use the Platform.

2. User eligibility

  • You must be at least 19 years old, or the age of legal majority in your province or territory, to create an account and use the Platform.

  • By using Neuromade, you confirm that you have the legal capacity to enter into a binding agreement.

  • If you use Neuromade on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

3. Account registration and security

  • To sell or purchase on Neuromade, you may need to create an account and provide accurate, current, and complete information.

  • You are responsible for maintaining the confidentiality of your login details and for all activity that occurs under your account.

  • You agree to notify Neuromade promptly if you suspect unauthorized use of your account or any other security breach.

  • Neuromade may suspend or terminate accounts that violate these Terms, appear fraudulent, or are used in an abusive or harmful way.

4. Role of Neuromade (marketplace only)

  • Neuromade provides an online marketplace that connects independent creators (“Sellers”) with customers (“Buyers”).

  • Each purchase is a contract directly between the Buyer and the Seller. Neuromade is not the seller or producer of the items listed by creators (unless clearly stated otherwise on a specific listing).

  • Neuromade does not manufacture, store, or own the items sold by Sellers and is not responsible for the quality, safety, legality, or accuracy of those items or listings.

  • Neuromade may, at its discretion, assist with customer support and dispute resolution, but is not obligated to become involved in disputes between users.

5. Acceptable use

You agree that you will not:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.

  • Post, upload, or sell items that are illegal, unsafe, infringe others’ rights, or contain hate speech, harassment, drug paraphernalia, sexual contents or other harmful content.

  • Interfere with or disrupt the security, integrity, or performance of the Platform (for example by hacking, scraping, or introducing malware).

  • Use the Platform to spam, scam, or mislead other users.

Neuromade may remove content, restrict features, or suspend or terminate accounts that breach this section.

6. Seller responsibilities

If you are a Seller, you agree to:

  • Ensure the listings are accurate, clear, and not misleading, including descriptions, photos, prices, processing times, and availability.

  • Comply with all laws and regulations that apply to your products and business, including but not limited to food safety rules for baked goods, labelling requirements, health and safety laws, and any required licenses or inspections.

  • Package and ship orders in a safe and appropriate way and fulfil orders within the processing and shipping timeframes stated in your listings.

  • Communicate with Buyers in a respectful and timely manner.

  • Set your own prices, taking into account Neuromade’s fees, your costs, and any applicable taxes.

  • Handle and remit any sales tax, GST/HST/PST, or other taxes required by law in your jurisdiction.

You are solely responsible for your shop, your products, and your compliance with legal and tax obligations.

7. Buyer responsibilities

If you are a Buyer, you agree to:

  • Provide accurate shipping, billing, and contact information when placing orders.

  • Review product descriptions, processing times, shipping information, and Seller policies before completing a purchase.

  • Contact the Neuromade officials first if there is any issue with an order (for example, missing items, damage, or incorrect products), and give the Seller a reasonable opportunity to respond.

Buyers are responsible for any customs fees, import duties, taxes, or additional charges that may apply to international orders.

8. Fees, pricing, and payment terms

  • Neuromade charges Sellers a small portion of each sale to cover platform and delivery‑related costs. The applicable fees will be communicated to Sellers and may be updated from time to time.

  • Product prices are set by Sellers and are displayed at checkout in Canadian dollars (CAD), unless otherwise indicated.

  • Payments are processed through one or more third‑party payment providers. By using the Platform, you also agree to the separate terms and policies of these payment providers.

  • Neuromade is not responsible for errors, delays, holds, or security issues arising from third‑party payment services, but may make reasonable efforts to assist where possible.

9. Shipping, delivery, and risk

  • Sellers are responsible for arranging shipping and delivery to Buyers consistent with the methods and timeframes described in their listings.

  • Risk of loss for items typically passes from Seller to Buyer when the item is delivered to the shipping carrier, unless applicable law requires a different point of transfer.

  • Neuromade is not responsible for delays, loss, damage, or incorrect delivery caused by postal services, couriers, or factors outside Neuromade’s control. Neuromade officials and Buyers are encouraged to work together to resolve shipping issues.

10. Returns, refunds, and cancellations

  • Each Seller on Neuromade is responsible for setting their own return, refund, and cancellation policies, provided those policies comply with applicable consumer protection laws in Canada and, where relevant, the Buyer’s location.

  • By default, Neuromade operates on a no refunds and no returns basis for change‑of‑mind purchases. Refunds, replacements, or other remedies may still be required where items are not as described, are defective, unsafe, or where consumer protection or food safety laws require it.

  • Buyers should carefully review product descriptions and Seller policies before purchasing and should contact the Neuromade officials directly if there is an issue with an order.

  • Neuromade may, at its discretion, assist with disputes between Buyers and Sellers but does not guarantee any particular outcome.

11. Intellectual property

  • All content on the Platform, including the Neuromade name, logo, design, and overall branding, is owned by or licensed to Neuromade and is protected by copyright, trademark, and other intellectual property laws.

  • Sellers retain ownership of the content and products they create and list (for example, artwork, photos, text), but grant Neuromade a non‑exclusive, worldwide, royalty‑free license to host, display, reproduce, and promote that content on and in connection with the Platform.

  • You may not copy, distribute, modify, reverse engineer, or use any part of the Platform or other users’ content without the prior written permission of the rights holder, except where allowed by law.

12. User content and reviews

  • By posting or submitting any content on the Platform (including reviews, comments, shop descriptions, photos, or messages that are visible to others), you represent that you have the right to share that content and that it does not infringe or violate the rights of any third party.

  • You grant Neuromade a non‑exclusive, worldwide, royalty‑free license to use, display, store, reproduce, and adapt such content for the purpose of operating, improving, and promoting the Platform.

  • Neuromade may remove, hide, or edit user content that it believes violates these Terms, applicable law, or the rights or safety of others.

13. Privacy

  • Neuromade collects, uses, and shares personal information as described in its separate Privacy Policy.

  • By using the Platform, you consent to the collection, use, and disclosure of your information in accordance with that Privacy Policy.

  • You should review the Privacy Policy regularly to understand how your data is handled.

14. Warranties and disclaimers

  • The Platform is provided on an “as is” and “as available” basis, without any warranties of any kind, whether express or implied.

  • Neuromade does not guarantee that the Platform will be uninterrupted, secure, error‑free, or free of viruses or other harmful components.

  • Neuromade does not endorse, guarantee, or warrant any product or service offered by Sellers on the Platform, including its safety, quality, legality, or suitability for a particular purpose.

  • To the fullest extent permitted by law, Neuromade disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

15. Limitation of liability

To the maximum extent permitted by law:

  • Neuromade will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses arising out of or related to your use of, or inability to use, the Platform.

  • Neuromade’s total liability for any claim arising out of or relating to these Terms or the Platform will be limited to the greater of:

    • (a) the amount you paid in fees to Neuromade in the three (3) months before the event giving rise to the claim; or

    • (b) 100 CAD.

Some provinces or territories do not allow certain limitations of liability, so some of the above limitations may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Neuromade, its owners, employees, contractors, and partners from and against any and all claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Platform;

  • Your violation of these Terms or any applicable law or regulation;

  • Your products, listings, content, or interactions with other users.

17. Suspension and termination

  • Neuromade may suspend or terminate your account and access to the Platform, with or without notice, if it believes you have violated these Terms, engaged in fraud or abuse, or pose a risk to the safety, rights, or property of others or to Neuromade.

  • You may stop using the Platform prior to one month notice and may request closure of your account, subject to any legal, record‑keeping, or tax obligations.

  • Even after suspension or termination, sections of these Terms that by their nature should survive (including intellectual property, limitation of liability, indemnification, and governing law) will remain in effect.

18. Changes to these Terms

  • Neuromade may update or modify these Terms from time to time to reflect changes in the Platform, legal requirements, or business needs.

  • When changes are made, the “Last updated” date at the top of this document will be revised, and Neuromade may provide additional notice where appropriate (for example, by email or an on‑site notification).

  • Your continued use of the Platform after updated Terms are posted constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform.

19. Governing law and disputes

  • These Terms are governed by and will be interpreted in accordance with the laws of Canada and the laws of the Province of British Columbia, without regard to conflict‑of‑law principles.

  • Any dispute arising out of or relating to these Terms or the Platform will be subject to the exclusive jurisdiction of the courts located in the Province of British Columbia, Canada, unless applicable law requires another forum.

  • Before starting any legal action, you agree to first attempt in good faith to resolve the dispute informally by contacting Neuromade using the details below.
